End-User Licence Agreement

This End-User Licence Agreement ("Agreement") is a legal agreement between you ("you") and AutoFactory Technologies Ltd and its affiliates, trading as AutoFactory Audio ("AutoFactory", "we", "us"), governing your use of our audio plugins, applications, and related software, documentation, and updates (together, the "Software"). By downloading, installing, or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.

1. Licence

The Software is licensed, not sold. Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software for your own music-production purposes, whether personal or commercial (i.e. you may use it on paid work you produce).

2. Restrictions

You may not: (a) copy, redistribute, resell, sublicense, rent, or lend the Software or any licence key; (b) reverse-engineer, decompile, or disassemble the Software except to the extent applicable law expressly permits; (c) remove or alter any proprietary notices; or (d) use the Software to build a competing product. The Software, and all intellectual property in it, remains owned by AutoFactory.

3. Licence keys

Paid Software may require a licence key issued at purchase. Keep it secure; it identifies your licence. We may deactivate keys obtained fraudulently or in breach of this Agreement.

4. Updates

We may, but are not obliged to, provide updates, patches, or new versions. Updates are provided under this Agreement unless accompanied by a separate licence. We are not obliged to maintain compatibility with any particular operating system, host application (DAW), or hardware.

5. No warranty

To the maximum extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express or implied, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be uninterrupted, error-free, compatible with your system or DAW, or that defects will be corrected. You are responsible for backing up your work, projects, and system. Audio software runs inside third-party host applications and operating systems we do not control.

Nothing in this Agreement excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, you have statutory rights (for example under the UK Consumer Rights Act 2015 or the EU Digital Content Directive) that this Agreement does not affect; the limitations above apply only to the extent the law allows.

8. Term and termination

This Agreement applies for as long as you use the Software. It terminates automatically if you breach it. On termination you must stop using and delete all copies of the Software. Sections 5–7 and 9–10 survive termination.

9. Governing law

This Agreement is governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. Nothing here deprives you of the protection of mandatory consumer-protection laws of your country of residence.
